Alpha / Beta Test Non-Disclosure Agreement
Re: Codejedi Inc. Software
Shadow Plan / Shadow Desktop

This is an Agreement between you (the "Tester") and Codejedi Inc.,
of Mississauga Ontario Canada (hereafter "Codejedi").
In consideration of the mutual covenants contained herein, Codejedi
and Tester agree as follows:
Tester shall, as an uncompensated volunteer and not as an employee or
independent contractor, test Codejedi's applications known as "Shadow
Plan" and "Shadow Desktop" (the "Software"). Tester will report any bugs,
comments or suggestions concerning the Software through the
alpha/beta tester mailing list or through a direct email when appropriate.
Tester shall hold in strict confidence all materials of any nature
provided by Codejedi to Tester, including, without limitation, the
Software, and make no disclosure of any nature whatsoever regarding any
such materials, and use such materials solely in connection with Tester's
proper performance hereunder. This Paragraph shall remain in full force
and effect after any termination of this Agreement.
Anyone wishing to write/contribute a review of the Software shall not
publish such a review until the final release of the Software, unless
specifically authorized in writing by Codejedi. Further, any review
shall only refer to and encompass the contents of the final release
products, not any alpha or beta or pre-release versions of the products,
nor any specific and special knowledge gleaned by participating in the
alpha or beta program or mailing lists.
Tester shall destroy (delete) all alpha or beta releases of the software
after their term of expiration, at the end of the term of the alpha/beta
program, or upon termination of this Agreement, whichever comes first.
Tester understands that alpha/beta test versions are experimental and
that Codejedi does not warrant the performance of the product in any
way. All warranties, expressed or implied, including any warranties of
merchantability or fitness for a particular purpose are expressly
disclaimed. Tester is responsible for backing up any personal handheld
or desktop PC data and understands that alpha or beta releases of the
Software may be unstable and may potentially hard reset (or corrupt) a
handheld or desktop computer; Codejedi is not responsible for any damage
or loss of information due to crashing or resetting Tester's handheld
PDA or desktop PC. This is a part of the alpha/beta process.
Either party can terminate this Agreement at any time for any reason
effective immediately upon notice to the other party. Cancelling membership
to the mailing list is considered notification.
This Agreement shall be governed by the laws of the Province of Ontario,
constitutes the entire agreement between the parties concerning its
subject matter and may be amended or waived only by a written instrument
executed by both parties.

Subscribing to the mailing list is considered full acceptance of this
Agreement and is considered an electronic signature.
